Terms of Service

Please read these Terms carefully. By creating an account or using Vedain CRM, you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of an organization, you represent that you have the authority to do so.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Vedain CRM software-as-a-service platform and website located at vedain.com ("Service"), provided by Vedain CRM ("Vedain", "we", "us", or "our").

By accessing or using the Service, you affirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

2. Service Description

Vedain CRM is a cloud-based customer relationship management platform designed for sales teams. The Service includes features for lead management, contact and account tracking, deal pipeline management, email inbox integration, email campaign automation, workflows, reporting, and related functionality as described on our website.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to provide advance notice of material changes. Vedain shall not be liable to you or any third party for any such modifications.

The Service is provided on an "as is" and "as available" basis. We do not guarantee that the Service will be uninterrupted, error-free, or that defects will be corrected. Our target uptime is 99.9% per calendar month, excluding planned maintenance windows.

3. Account Registration

To use the Service, you must register for an account by providing accurate, current, and complete information including your name, company name, and a valid email address.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@vedain.com if you suspect any unauthorized access or use of your account.

Each account is for a single organization ("Company"). You may invite team members to your Company account. Each invited user must agree to these Terms independently. Accounts are non-transferable.

You may not create multiple accounts for the purpose of circumventing usage limits or trial periods, or allow multiple organizations to share a single account.

4. Subscription & Billing

The Service is offered under several subscription plans with different features and limits. Current pricing is displayed on our Pricing page. All prices are shown exclusive of applicable taxes unless stated otherwise.

Free Trial

We offer a 14-day free trial with no credit card required. At the end of the trial period, the Service may become inaccessible until a paid subscription is activated.

Subscription Plans

Subscriptions are billed in advance on a monthly or annual basis. Current plans include Starter ($29/mo), Pro ($79/mo), and Enterprise ($199/mo) in USD. Equivalent pricing is available in AED (via Stripe) and INR (via Razorpay).

Payment

Payments are processed securely by Stripe (USD/AED) or Razorpay (INR). By providing a payment method, you authorize us to charge that method on a recurring basis according to your chosen plan. Failed payments may result in service suspension after a grace period.

Refunds & Cancellations

You may cancel your subscription at any time. Upon cancellation, you retain access until the end of the current billing period. We do not provide pro-rated refunds for partial months unless required by applicable law. Annual plan refunds may be considered on a case-by-case basis.

Price Changes

We may change subscription prices by providing at least 30 days' written notice. Your continued use of the Service after the effective date constitutes acceptance of the new pricing.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree that you will not:

  • Use the Service to send unsolicited bulk emails (spam) or violate anti-spam laws such as CAN-SPAM, GDPR, or CASL
  • Upload, store, or process data in violation of applicable privacy laws
  • Use the Service to transmit harmful, offensive, fraudulent, or illegal content
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Reverse-engineer, decompile, or disassemble any part of the Service
  • Use the Service in a way that could damage, disable, or impair the Service or interfere with other users
  • Share your account credentials with individuals outside your registered Company
  • Resell, sublicense, or use the Service to provide services to third parties without our written consent
  • Use automated means to scrape, extract, or harvest data from the Service

Violation of these restrictions may result in immediate suspension or termination of your account without refund, and may subject you to legal liability.

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Vedain CRM and its licensors. The Service is protected by copyright, trademark, and other applicable intellectual property laws.

You retain full ownership of all data you upload, import, or create within the Service ("Customer Data"). You grant Vedain a limited, non-exclusive license to access, store, and process your Customer Data solely for the purpose of providing the Service to you.

You may not use our trademarks, logos, or brand assets without prior written permission. Our name "Vedain" and logo may not be incorporated into any product name, domain name, or service mark without express written consent.

Any feedback, suggestions, or feature requests you provide to us may be used by Vedain to improve the Service without any obligation to compensate you.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Vedain and its directors, employees, partners, agents, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, data loss, or business interruption — arising out of or relating to your use of the Service.

Our total aggregate liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the greater of (a) the amounts paid by you to Vedain in the 12 months preceding the claim, or (b) USD $100.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential damages, so the above limitations may not apply to you. In such cases, our liability will be limited to the greatest extent permitted by applicable law.

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8. Termination

Either party may terminate the agreement at any time. You may cancel your subscription and delete your account through your account settings or by contacting support.

We may suspend or terminate your account immediately, without prior notice or liability, if we determine in our sole discretion that you have violated any provision of these Terms, including the Acceptable Use policy.

Upon termination, your right to use the Service will immediately cease. We will retain your Customer Data for 60 days following termination to allow you to export it. After that period, your data will be permanently deleted from our systems (subject to backup retention periods described in our Privacy Policy).

Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property rights, disclaimers of warranties, and limitations of liability.

9. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. For users in the European Union, applicable EU consumer protection laws shall also apply.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Bangalore, India, in accordance with the Arbitration and Conciliation Act, 1996.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm or protect intellectual property rights.

10. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting a notice on our website and/or sending an email to your registered address at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription before the effective date.
